VivoPower International PLC Announces Intent to Spin Off of Caret Digital via a Direct Listing on Nasdaq and Dividend Share Distribution

London, UK and Houston, TX, March 20, 2023 – VivoPower International PLC (Nasdaq: VVOP), a clean energy and mobility company, today announced its intention to spin off its Caret Digital business via a direct listing on the Nasdaq Capital Market. The company also announced a dividend share distribution to its shareholders.

The spin-off of Caret Digital, a leading provider of digital solutions for the energy and mobility sectors, is expected to be completed in the second half of 2023, subject to customary regulatory approvals and other conditions. The spin-off will create a standalone, publicly traded company that will be well-positioned to capitalize on the growing demand for digital solutions in the energy and mobility sectors.

In conjunction with the spin-off, VivoPower International PLC intends to distribute a dividend of its shares in Caret Digital to its shareholders. The dividend distribution is expected to be made in the second half of 2023, subject to customary regulatory approvals and other conditions.
