Calibre Mining Announces Receipt of Interim Order and Filing and Mailing of Meeting Materials for Special Meeting of Shareholders

VANCOUVER, British Columbia, March 25, 2023-- Calibre Mining Corp. (TSX: CXB) (OTCQB: CGMCF) ("Calibre" or the "Company") is pleased to announce that it has received an interim order from the Supreme Court of British Columbia approving the holding of a special meeting of shareholders (the "Meeting") to consider a proposed share consolidation and a proposed amendment to the Company's articles.

The Meeting will be held on April 15, 2023, at 10:00 a.m. (Vancouver time) at the offices of the Company, located at 1040 West Georgia Street, Suite 2000, Vancouver, British Columbia, V6E 2Y3. The record date for the Meeting is March 25, 2023.

The Company has also filed and mailed the meeting materials, including the notice of meeting, the management information circular and the form of proxy, to its shareholders.

The proposed share consolidation would result in the consolidation of the Company's outstanding common shares on a 1-for-5 basis, with shareholders receiving one new common share for every five existing common shares held. The proposed amendment to the Company's articles would, among other things, provide for the consolidation of the Company's outstanding common shares.

The Meeting will be conducted in accordance with the Business Corporations Act (British Columbia) and the Company's articles. The Company's board of directors recommends that shareholders vote in favor of the proposed share consolidation and the proposed amendment to the Company's articles.
